1. Acceptance
By accessing or using the QuantAlloc workbench (the “Service”) you agree to these Terms of Service (the “Terms”). If you are using the Service on behalf of an institution, you confirm you are authorised to bind that institution to these Terms.
2. The Service
QuantAlloc is a Namibian institutional investment workbench that helps analysts:
- Record portfolio positions from fund manager fact sheets;
- Run Regulation 28 / NAMFISA prudential checks (currently the 2018 Pension Funds Regulations 12–13, grandfathered under FIMA s.467);
- Compute performance, exposures, drawdown, and rebalance plans;
- Produce committee-ready investment memos.
The Service is a decision-support tool. It is not financial, investment, tax, legal, or accounting advice — see section 7.
3. Eligibility & access
The Service is intended for institutional analysts, pension funds, family offices, asset managers, and similar professional users. Access is granted on an invite basis; you may not share your credentials with anyone outside your authorised team. We may suspend or terminate access where these Terms are breached.
4. Your account and your data
You are responsible for the accuracy of the data you enter into the workbench (positions, market values, weights, mandate rules, monthly returns, fact-sheet metadata). QuantAlloc's analytics, compliance checks, and reports are derived from this data — they cannot detect mis-typed entries, omitted holdings, or stale values.
You retain ownership of the workspace data you enter. We process it on your behalf to provide the Service in accordance with the Privacy Policy. You grant us a limited licence to host, process, and display your data for that purpose.
5. Acceptable use
You agree not to:
- Reverse engineer, decompile, scrape, or copy the Service or any part of it, except to the extent applicable law permits this notwithstanding the prohibition;
- Use the Service to process data you are not authorised to handle, including personal data subjects' data without lawful basis;
- Probe, attack, or attempt to bypass the security or rate limits of the Service;
- Resell, sublicense, or make the Service available to anyone outside your team;
- Use the Service in any way that violates Namibian law, the laws of any other jurisdiction applicable to you, or the rights of any third party.
6. Service availability
We aim for high availability but do not guarantee that the Service will be free from interruption or error. We may perform maintenance, deploy updates, and modify or discontinue features. We will give reasonable notice of changes that materially affect paying customers.
7. Not investment advice
QuantAlloc is a decision-support tool, not an advisor. The analytics, compliance checks, performance metrics, attribution, rebalancing plans, scenario stress tests, and investment memos generated by the Service are based on the data you provide and on regulatory thresholds we believe to be current. They are not investment advice, financial advice, tax advice, legal advice, or a recommendation to buy, sell, or hold any security or fund.
You and your firm remain solely responsible for your allocation decisions, fiduciary obligations, regulatory filings, and the independent verification of any output produced by the Service. The Service's Reg 28 / mandate checks are a best-effort implementation of the regulations as we understand them at the time; you must confirm compliance directly against the binding regulatory instruments.
8. Intellectual property
The Service, including the software, design, content (other than your workspace data), and the QuantAlloc name and brand, is and remains the property of QuantAlloc. You are granted a non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms during your subscription.
9. Confidentiality
Each party will treat the other's confidential information — including workspace data on our side and any non-public technical information about the Service on yours — with the same care it gives its own, and will not disclose it except to personnel and professional advisors with a need to know, or as required by law.
10. Fees, billing, and term
Fees and billing cycles are set out in a separate order form or invoice. Unless otherwise stated, fees are quoted in Namibian Dollars (NAD), payable by electronic funds transfer against invoice, and exclude any applicable taxes. Subscriptions continue for the period stated in the order form and renew on the same basis unless either party gives notice of non-renewal at least 30 days before the end of the current term.
11. Termination
Either party may terminate for material breach by the other if the breach is not cured within 30 days of written notice. We may suspend access immediately for security incidents or non-payment beyond 30 days. On termination, your access ends and your workspace data will be available for export for 30 days, after which we may delete it.
12. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available.” We disclaim all warranties, whether express, implied, statutory, or otherwise, including any warranty of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any computations will be free from inaccuracy.
13. Limitation of liability
To the maximum extent permitted by law, in no event will either party be liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunity, even if advised of the possibility. Each party's total aggregate liability arising out of or related to these Terms will not exceed the fees paid or payable by you to QuantAlloc in the 12 months preceding the event giving rise to the claim.
Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law (including liability for fraud, wilful misconduct, or death or personal injury caused by negligence).
14. Indemnity
You agree to indemnify and hold harmless QuantAlloc against any third-party claim arising from your breach of these Terms or your unauthorised use of the Service.
15. Governing law & disputes
These Terms are governed by the laws of the Republic of Namibia. The parties submit to the exclusive jurisdiction of the courts of Namibia for any dispute arising out of or related to these Terms, save that QuantAlloc may seek interim injunctive relief in any competent court to protect its intellectual property or confidential information.
16. Changes to these Terms
We may amend these Terms from time to time. Material changes will be notified to paying customers by email at least 30 days in advance. Continued use of the Service after the change takes effect indicates your acceptance of the updated Terms.
